Corporate Governance rules


In connection with the adoption by the Polish Financial Supervision Authority on 22 July 2014 of the document entitled "Corporate Governance Rules for supervised institutions" (hereinafter referred to as: Corporate Governance Rules) The National Payments Integrator Joint Stock Company (Krajowy Integrator Płatności S.A.) (hereinafter referred to as KIP SA), guided by the task of caring for correct and safe operation, declares its readiness to apply the Corporate Governance Principles in the objectively as wide as possible . In relation to the above, KIP SA makes available on its website this message containing information about the application or information about the withdrawal from the application of certain Corporate Governance Principles. KIP SA declares that it meets and respects all Corporate Governance Rules, with the exclusion or partial exclusion of the following Policy: §21 section 2 which the Company withdraws or partially withdraws from its application - in accordance with the principle of proportionality. KIP SA also points out that the Corporate Governance Rules specified in Chapter 9 (§53-57), which due to the nature of their activities and specifics do not apply to KIP SA and will not be applied. In addition, pursuant to §27 of the Corporate Governance Principles, the Supervisory Board of KIP SA in 2017 assessed the application of the Corporate Governance Principles by KIP SA in 2016, and made the information about the assessment available on the Company's website.

Paweł Działak

A graduate of the Poznan University of Technology at the faculty of Electronics and Telecommunications. As CEO, he's involved in intensive development and managing of Tpay.com from the very beginning. He is involved in payment systems since 2008 and as a passionate of modern fintech technologies he participates in events related to the development of Polish eCommerce market as well as all major industry conferences. Paweł is an associate of eCommerce Poland associations and the Polish Organization of Non-bank Payment Institutions.

Jarosław Growin

A graduate of the Poznan University of Technology at the faculty of Electronics and Telecommunications. As CTO, he develops the payment system and companys IT environment. Over the years, Jarosław participated in operational activities and co-created new departments at all organizational levels of the Tpay. In 2012-2016 he was the Chairman of the Supervisory Board of KIP S.A. In August 2016, he joined the company's Management Board to be closer to the operational activities and is currently responsible for: Customer Service Office, Technical Department and the Internal Control Department.

Joanna Growin

She obtained the title of Master of Science of Computer Science at Linnaeus University in Sweden. Specializes in software engineering, IT project audits, business processes improvement and knowledge management. Has certificates in the following fields: CMMI®, ITIL®, Prince2®, Scrum. She gained her professional experience, among others at Samsung Electronics

Monika Król

A graduate of the faculty of economics at the University of Economics in Poznan, since 2006 an expert auditor (reference number 10912). She gained her professional experience working in financial and accounting departments in private sector enterprises and runs her own business in the field of accounting and tax services. Currently, she is the chief accountant in a Grundfos, a company from the international capital group.

Agnieszka Cichocka

A graduate of the Adam Mickiewicz University in Poznań, legal counsel. She gained many years of professional experience in the finance and legal processes field. 6 years of law services with professional companies for customers such as the BZWBK bank (today's Santander Bank) brought her a new challenge as a legal advisor in corporate consultancy for capital companies.
